Swatch Group, the Swiss watchmaking giant, is currently under significant pressure from Greenwood Investors, an American activist fund, demanding management improvements and governance reforms.

Steven Wood, the activist investor leading Greenwood Investors, argues that Swatch Group’s market capitalization is undervalued compared to its asset value and criticizes the company’s closed governance structure for hindering its performance.

Based in Switzerland, Swatch Group is the largest watch manufacturing and distribution group in the world, accounting for approximately 25% of global watch production. The Hayek family, descendants of founder Nicolas Hayek, holds about 44% of the voting rights, thereby maintaining strong control over the management of the company. In response to this concentrated power, Wood is calling for securing board seats to counteract the Hayek familys monopolistic governance.

The Swatch Group is known for its extensive brand portfolio, often referred to as a three-tiered cake system, which includes a wide range of watch brands from budget to high-end luxury.

Among its ultra-luxury brands are Breguet, Blancpain, Omega, Harry Winston, and Jaquet Droz, which are recognized for their luxurious quality and appeal. On the high-range spectrum, brands like Longines, Rado, and Union Glashütte stand out for combining premium quality with broader market accessibility.

The mid-range brands include Tissot, Mido, Hamilton, Balmain, and Certina, while the most affordable options are the casual fashion watches Swatch and the children’s brand Flik Flak.

The roots of Swatch Group trace back to the 1930s crisis in the Swiss watch industry, leading to the formation of two major conglomerates, SSIH and ASUAG. SSIH was established in 1930 when Omega and Tissot merged to overcome the challenges posed by the Great Depression.

As the dynamics of the watch industry evolve, the pressure from investors like Greenwood Investors highlights ongoing debates about corporate governance and the potential for strategic changes within established firms like Swatch Group. The outcome of this situation may significantly affect not only the company’s future but also the broader landscape of the global watch market.
